Welcome to Prometu. These comprehensive Terms and Conditions ('Terms') constitute a legally binding agreement between you, whether personally or on behalf of an entity ('you' or 'customer'), and Prometu, Inc. ('Prometu', 'we', 'us', or 'our'), concerning your access to and use of the prometu.com website as well as any other media form, media channel, mobile website or mobile application related, linked, or otherwise connected thereto, and the purchase of our robotic products and hardware. By accessing the site or purchasing products, you acknowledge that you have read, understood, and agree to be bound by all of these terms. If you do not agree with all of these terms, then you are expressly prohibited from using the site and must discontinue use immediately.
1. Corporate Status and Scope of Agreement
Prometu, Inc. is a corporation duly organized, validly existing, and in good standing under the laws of the State of Delaware. These Terms apply to all users of the site, including without limitation users who are browsers, vendors, customers, merchants, and/or contributors of content. Our products consist of non-medical robotic systems, hardware, and associated software. Any new features or tools which are added to the current store shall also be subject to these Terms. 2. Product Use and Safety Compliance
By purchasing or using our robotic products, you represent and warrant that the products will be used in a safe and lawful manner. You acknowledge that robotic hardware can be inherently dangerous if misused. You agree to strictly adhere to all technical specifications, safety manuals, and operating instructions provided by Prometu, Inc. The products are not intended for use in life-critical applications, medical procedures, or high-risk environments where failure could lead to personal injury or environmental damage. You assume all responsibility for the supervision of the robot's operation and for ensuring that all operators have received adequate training. Failure to comply with safety guidelines voids all warranties and releases Prometu, Inc. from any liability resulting from subsequent accidents or malfunctions.
3. Proprietary Rights and Intellectual Property
The site, the robotic hardware, and the integrated software (firmware) contain proprietary information and intellectual property owned by Prometu, Inc., including but not limited to patents, trademarks, trade secrets, and copyrights. You are granted a non-exclusive, non-transferable, revocable license to use the software embedded in the products solely for the operation of the hardware. You shall not, and shall not permit any third party to: (a) reverse engineer, decompile, or disassemble the hardware or software; (b) modify or create derivative works based on the products; (c) bypass any technological protection measures; or (d) remove any proprietary notices or labels. All rights not expressly granted herein are reserved by Prometu, Inc.
4. Purchase Terms, Pricing, and Payment
All orders are subject to acceptance by Prometu, Inc. We reserve the right to refuse any order for any reason. Prices for our products are subject to change without notice. We shall not be liable to you or to any third-party for any modification, price change, or discontinuance of a product. Payment must be received by us before our acceptance of an order. You represent and warrant that: (i) the credit card information you supply to us is true, correct, and complete; (ii) you are duly authorized to use such credit card for the purchase; (iii) charges incurred by you will be honored by your credit card company; and (iv) you will pay charges incurred by you at the posted prices, including all applicable taxes, if any. Shipping and handling charges are non-refundable unless otherwise stated.
5. Export Control and Regulatory Compliance
Our robotic products and related technology are subject to United States export control laws and may be subject to export or import regulations in other countries. You agree to comply strictly with all such laws and regulations and acknowledge that you have the responsibility to obtain such licenses to export, re-export, or import as may be required. You represent and warrant that you are not located in a country that is subject to a U.S. Government embassy, or that has been designated by the U.S. Government as a 'terrorist supporting' country, and you are not listed on any U.S. Government list of prohibited or restricted parties.
6. Limited Warranty and Warranty Disclaimer
Prometu, Inc. provides a limited warranty that the hardware will be free from defects in materials and workmanship for a period defined in the specific product documentation from the date of shipment. This warranty does not cover damage resulting from accident, abuse, misuse, unauthorized modification, or improper maintenance. To the maximum extent permitted by applicable law, except as expressly set forth in this section, the products and services are provided 'as is' and 'as available.' Prometu, Inc. hereby disclaims all other warranties, whether express, implied, statutory or otherwise, including but not limited to any implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
7. Limitation of Liability and Damages
In no event shall Prometu, Inc., its directors, officers, employees, or agents be liable for any indirect, incidental, special, exemplary, punitive, or consequential damages whatsoever (including, without limitation, damages for loss of business profits, business interruption, loss of business information, or any other pecuniary loss) arising out of the use of or inability to use the products, even if Prometu, Inc. has been advised of the possibility of such damages. In any case, the entire liability of Prometu, Inc. under any provision of these terms shall be limited to the amount actually paid by you for the specific product that caused the damage. This limitation applies regardless of whether the alleged liability is based on contract, tort, negligence, strict liability, or any other basis.
8. Indemnification
You agree to indemnify, defend and hold harmless Prometu, Inc. and our parent, subsidiaries, affiliates, partners, officers, directors, agents, contractors, licensors, service providers, subcontractors, suppliers, interns and employees, harmless from any claim or demand, including reasonable attorneys’ fees, made by any third-party due to or arising out of your breach of these Terms or the documents they incorporate by reference, or your violation of any law or the rights of a third-party, or any personal injury or property damage caused by your negligent or willful misuse of the robotic products.
9. Severability and Waiver
In the event that any provision of these Terms is determined to be unlawful, void or unenforceable, such provision shall nonetheless be enforceable to the fullest extent permitted by applicable law, and the unenforceable portion shall be deemed to be severed from these Terms; such determination shall not affect the validity and enforceability of any other remaining provisions. The failure of Prometu, Inc. to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
10. Governing Law and Dispute Resolution
These Terms and any separate agreements whereby we provide you Services shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles. You agree that any dispute arising out of or relating to these Terms or the breach thereof shall be settled by binding arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules, and judgment on the award rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof. The seat of arbitration shall be Delaware. Notwithstanding the foregoing, Prometu, Inc. may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights.
11. Force Majeure
Prometu, Inc. shall not be liable or responsible to you, nor be deemed to have defaulted or breached these Terms, for any failure or delay in fulfilling or performing any term of these Terms when and to the extent such failure or delay is caused by or results from acts or circumstances beyond the reasonable control of Prometu, Inc. including, without limitation, acts of God, flood, fire, earthquake, explosion, governmental actions, war, invasion or hostilities, terrorist threats or acts, riot, or other civil unrest, national emergency, revolution, insurrection, epidemic, lockouts, strikes or other labor disputes, or restraints or delays affecting carriers or inability or delay in obtaining supplies of adequate or suitable materials, materials or telecommunication breakdown or power outage.
12. Entire Agreement and Contact
These Terms and any policies or operating rules posted by us on this site or in respect to the Service constitutes the entire agreement and understanding between you and us and govern your use of the Service, superseding any prior or contemporaneous agreements, communications and proposals, whether oral or written, between you and us.
